Singdata Technology User Agreement
Effective Date: January 10, 2025
Preface
Thank you for using the products and/or services provided by SINGDATA CLOUD PTE. LTD. (referred to as: Singdata Technology). Before completing the registration process or using the Singdata Technology website services in any way, please be sure to read and thoroughly understand these Singdata Technology website service terms (hereinafter referred to as "Service Terms"). After confirming that you fully understand, choose to accept or not accept these Service Terms; once you complete "Agree to Terms and Register" or start using Singdata Technology services in other ways, it indicates that you have read and agree to be bound by these Service Terms. If you do not agree to these Service Terms or any of its provisions, you should not proceed to the next step or stop the registration process.
Singdata Technology once again reminds you to carefully read and fully understand the content of each clause, especially the corresponding clauses that limit or exempt liability. Clauses that limit or exempt liability may be highlighted in bold or other prominent forms to draw your attention.
I. Contracting Parties and Scope of Agreement
1.1. The Singdata Technology Product Service Terms are a valid contract between you and SINGDATA CLOUD PTE. LTD (hereinafter referred to as "Singdata Technology" or "we") regarding the use of Singdata Technology product services (including providing you with website page information browsing, account registration, Lakehouse Data Platform, DataGPT services, etc., hereinafter referred to as "this service"). Singdata Technology and its all product services includes the website with the domain name singdata.com.
II. Account Registration, Use, and Security
2.1. Registration Eligibility
2.1.1. You confirm that when you complete the registration process or actually use this service in any other way permitted by Singdata Technology, you should be a natural person, legal person, or other organization with full civil rights capacity and full civil conduct capacity (hereinafter referred to as "you").
2.1.2. If you are a minor or a person with limited civil conduct capacity, you do not have the aforementioned subject qualifications, and you and your guardian should bear all consequences resulting from your improper registration behavior.
2.1.3. You also need to ensure that you are not subject to any trade restrictions, sanctions, or other legal or regulatory restrictions imposed by any country, international organization, or region, otherwise, you may not be able to register and use Singdata Technology services normally.
2.2. Account Registration
2.2.1. When you fill in the information as prompted on the registration page, read and agree to these Service Terms, and complete all registration procedures, you can obtain a Singdata Technology account and become a user of Singdata Technology.
2.2.2. You can complete the registration process by setting or confirming an account name ("account name") and the password you set; you can choose to set a login mobile number and complete dynamic verification, authorize the use of a third-party account for associated registration, or other registration methods provided by Singdata Technology to complete the registration of a Singdata Technology user account. When you register an account in a certain form, Singdata Technology may automatically generate an "account ID" for you. You understand and agree that when referring to your Singdata Technology account or account, it actually refers to the collective term for the above account name and password, login mobile number, authorized third-party account, or other information attributed to "account" or "account" in the user interface.
2.2.3. The account name you set must not violate national laws and regulations, public order and good customs, social ethics, Singdata Technology's management norms, or easily cause confusion between your identity and Singdata Technology, otherwise, your account may not be successfully registered or Singdata Technology has the right to cancel it after notifying you.
2.2.4. You should accurately provide and promptly update your account information as required by laws and regulations or as prompted on the corresponding page to ensure it is true, timely, complete, and accurate. If the information you provide is incorrect, untrue, outdated, or incomplete, Singdata Technology may send you inquiries and/or requests for correction, and you should cooperate with providing or updating relevant information as required by Singdata Technology. If the information you fill in is untrue, untimely, incomplete, or inaccurate, you should bear the consequences and losses of not being able to use the Singdata Technology account (unable to register successfully, or the account is frozen or canceled) or during the use process.
2.2.5. Singdata Technology may require you to provide more identity information and information for certain cloud services, perform further identity authentication or qualification verification, and your account can only obtain the qualification to use the relevant cloud services after passing these authentications and verifications.
2.2.6. Generally, your Singdata Technology account is the only identity identifier for all activities on the Singdata Technology website, unless otherwise agreed, each Singdata Technology account can independently carry out activities on this website. However, in the following situations, Singdata Technology has the right to unify the handling of multiple Singdata Technology accounts owned by the same and/or associated legal entities based on its judgment, such as determining that they are actually the same user based on the associated information in the registration, login, and use of different Singdata Technology accounts. Examples of associated information: the same document, the same mobile number, the same payment account, the same device, the same address, etc.
2.3. Account Use and Security
2.3.1. You have the right to use the account you set to log in to the Singdata Technology website and then use the cloud services provided by Singdata Technology. You acknowledge and agree that Singdata Technology has the right to change, suspend, or cancel any cloud service (including the increase or decrease of product types, adjustment of service content, version upgrades, etc.) or the entire cloud service, or change, suspend, or cancel certain characteristics or functions of the cloud service, or change, suspend, or cancel the use method and related content of the cloud service from time to time. Such changes, suspensions, or cancellations will be announced on the Singdata Technology official website to notify you. You are obliged to promptly check and thoroughly understand the relevant adjustment content. If you do not agree with any of the changed terms, please do not continue to purchase or use the relevant cloud services. If you use the cloud services provided by Singdata Technology, it is deemed that you agree to comply with the latest version of the service terms and any terms of the specific cloud service service terms published at that time. 2.3.2. Singdata may notify you of relevant cloud service progress and prompt you to take the next step via email, in-site messages, SMS, or phone. During the service process, you should log in to your Singdata account in a timely manner to check and perform transaction operations.
2.3.3. A Singdata account can only correspond to a unique legal entity. Unless explicitly stipulated by law, judicial decision, or with Singdata's consent, you may not transfer, lend, rent, sell, gift, or allow others to inherit your Singdata account in any way.
2.3.4. Your account information is set by you and kept by you. You must keep your Singdata account and password, mobile verification code, and other account-related information confidential. You need to ensure that you leave the website correctly at the end of each online session.
2.3.5. If you find that someone else is using your Singdata account without authorization, you should immediately notify Singdata; Singdata will assist you in freezing the account, changing the password, or making other security settings; you understand that it takes reasonable time for Singdata to act on your request, and Singdata is not responsible for any consequences (including but not limited to any loss you incur) that occur before action is taken or are caused by you.
2.3.6. Singdata will also provide relevant free services to help you secure your account, including prompting you to configure security products, providing basic monitoring and alerting capabilities, and notifying you of abnormal operations on your designated account. To achieve these capabilities, you acknowledge and agree that Singdata will obtain your AK and account activity records to alert you to high-risk events. You understand and accept that although Singdata provides the above account security monitoring services, you are the primary person responsible for your account security. Singdata cannot guarantee the effectiveness and service quality of the free services provided, and Singdata is not responsible for any consequences (including but not limited to any loss you incur) caused by the leakage of AK or other login authentication methods.
III. Account Freezing, Cancellation, and Appeals
3.1. Account Freezing
Your Singdata account (all or part of its permissions or functions) may be frozen under the following circumstances (for example, the Singdata account is restricted from logging in; the fund transfer function is restricted, etc.), and Singdata will notify you via email, in-site messages, SMS, or phone:
3.1.1. Based on the need for the operation and transaction security of the Singdata website or cloud services, if you have or may have destroyed or attempted to destroy the fair trading environment or normal trading order of Singdata or its affiliated companies, or used any name, brand containing Singdata or its affiliated companies that may mislead others, or used any Chinese or English (full name or abbreviation), numbers, domain names, etc., intending to indicate or imply some association with Singdata or its affiliated companies;
3.1.2. Violating these service terms, relevant rules, norms (such as cloud platform security rules, transaction rules, management norms, etc.), service descriptions, and other service agreements/terms of the Singdata website;
3.1.3. Violating national laws, regulations, policies, or legal documents;
3.1.4. You are complained about by others, and the other party has provided relevant evidence, but you have not provided contrary evidence as required by us;
3.1.5. Singdata reasonably analyzes and judges that your account operations, earnings, exchanges, etc., are abnormal;
3.1.6. Freezing required by national authorities;
3.1.7. Singdata reasonably judges that the same user has other situations of the same nature or similar risks as the above behaviors.
3.2. Account Cancellation
3.2.1. Your Singdata account will be canceled under any of the following circumstances:
3.2.1.1. Singdata processes your cancellation request and completes the account cancellation according to the law and the account cancellation process based on your submitted account cancellation application.
3.2.1.2. When the situation in Article 3.1 above occurs and is serious, or based on the requirements of national authorities, Singdata cancels your relevant Singdata account, and Singdata will notify you via email, SMS, phone, or other appropriate means.
3.2.1.3. When you have not logged into the Singdata website through your account for 12 consecutive months (including during the account freezing period), and there are no unexpired cloud services under your account, Singdata has the right (but not the obligation) to cancel your account.
3.2.2. You understand and agree that once the account is canceled, you will:
3.2.2.1. No longer be able to log in to the Singdata website, forum, App, etc.; 3.2.2.2. No longer be able to access the control panel or cloud site control panel; 3.2.2.3. No longer be able to perform other operations that rely on account permissions; 3.2.2.4. No longer be able to retrieve personal information, transaction records, business data, historical information, etc., under that account.
3.2.2.5. However, account cancellation does not mean that all account behaviors and related responsibilities before the account cancellation are exempted or mitigated.
3.2.3. After account cancellation, Singdata will:
3.2.3.1. No longer have the right to continue collecting, storing, and using your personal information and data, except as required by laws and regulations, such as retaining corresponding invoice information for tax compliance; 3.2.3.2. Be obliged to ensure that all data under your account cannot be retrieved or accessed in the systems involved in daily business functions, under the premise of complying with national laws and regulations; 3.2.3.3. Account cancellation does not affect Singdata's obligation to confirm the user's true identity before account cancellation as required by regulatory authorities or other legal scenarios.
3.3. Appeals
In the event of the aforementioned account freezing or cancellation, you should pay attention in a timely manner and can follow the procedures to appeal and perform subsequent operations:
3.3.1. You can apply to Singdata to lift the above freezing or cancellation through the appeal procedure. For the security of your account, you should cooperate and truthfully provide identification and related materials, as well as other information or documents required by Singdata for verification. You should fully understand that your appeal may not necessarily be allowed, and Singdata has the right to decide whether to agree to your appeal request. 3.3.2. You understand and agree that if you refuse to provide truthful identification and related information, or fail to pass Singdata Technology's review, Singdata Technology has the right to freeze such accounts for a long period and restrict some or all functions of the account until the aforementioned situation is reasonably corrected, or the account is canceled based on the agreement in Article 3.2.1.3.
3.4 You understand and agree that if you have multiple Singdata Technology accounts under your name, and one or more accounts are frozen or canceled due to your illegal, non-compliant, or breach of contract behavior, Singdata Technology has the right to make a reasonable judgment based on the specific situation and the degree of related risks, and freeze or cancel all or part of your other accounts.
IV. Website Services and Regulations
4.1. You have the right to enjoy the internet technology services and information services provided by Singdata Technology through this website. At the same time, you should also fulfill responsibilities such as timely payment and service management in accordance with these service terms and the relevant terms and conditions confirmed when you purchase specific cloud services.
4.2. When using Singdata Technology services (including this service and cloud services), you should ensure:
4.2.1. When using Singdata Technology services, you will comply with national and local laws and regulations, industry practices, and social public morals, and will not use the services provided by Singdata Technology to store, publish, or disseminate the following information and content:
(i) Any content (information) that violates national laws, regulations, and policies;
(ii) Political propaganda and/or news information that violates national regulations;
(iii) Information involving state secrets and/or security;
(iv) Superstitious, obscene, pornographic, vulgar information or information that incites crime;
(v) Gambling with prizes, gambling games; information that violates national ethnic and religious policies;
(vi) Information that hinders internet operation security;
(vii) Information that infringes on the legal rights of others and/or other information or content that is detrimental to social order, social security, and public morals;
(viii) You also promise not to provide any convenience for others to publish the above information content that does not comply with national regulations and/or the provisions of these service terms, including but not limited to setting URLs, BANNER links, etc.
4.2.2. There should be no behavior that damages or attempts to damage network security, including not using technology or other means to damage or disrupt this website and other customers' websites of Singdata Technology;
4.2.3. Your use of Singdata Technology website services should comply with these service terms;
If you violate the above guarantees, Singdata Technology has the right to take measures such as deleting information, suspending services, and terminating services in accordance with the relevant service terms, and has the right to freeze or cancel some or all functions of your account.
V. Privacy and Personal Information Protection
5.1. To promptly follow up on your needs, we may enter the contact information or account data you provide (including name, email address, phone number, position), your company's basic information, and project service information into our customer relationship management (CRM) system. The service consultant who connects with you will have the authority to view the aforementioned information and contact you when necessary.
5.2. If you wish to further understand how we collect and use your personal information or how we protect your privacy, you can refer to the "Legal Statement and Privacy Policy."
VI. Intellectual Property
6.1. We respect intellectual property rights. Unless we have obtained your consent, Singdata Technology will not use, modify, copy, publicly disseminate, alter, distribute, issue, or publicly publish the results of your intellectual property rights without authorization.
6.2. Unless otherwise stated, the intellectual property rights of the Singdata Technology website logo, "Singdata Technology" text, graphics, and their combinations, as well as other logos, emblems, service names, technical documents, etc., on the Singdata Technology website, belong to Singdata Technology and its affiliated companies. "Intellectual property" includes any and all rights, ownership, and interests stipulated in patent law, copyright law, trademark law, anti-unfair competition law, and other laws, as well as any and all applications, updates, extensions, and restorations thereof.
6.3. You must not attack the Singdata Technology official website, modify, adapt, translate the software, technology, materials, etc. used by cloud services, or obtain the source code involved in cloud services through reverse engineering, decompiling, disassembling, or other similar behaviors. Otherwise, you will be responsible for all legal consequences arising therefrom, and Singdata Technology has the right to pursue your legal responsibility according to the law.
6.4. You should respect the intellectual property rights and other legal rights/interests of Singdata Technology and third parties, and ensure that in the event of illegal incidents infringing the aforementioned rights, Singdata Technology and its employees, shareholders, partners, etc., are protected from being affected or suffering losses due to such incidents. Singdata Technology reserves the right to terminate services to you and not refund any fees if you infringe on the legal rights/interests of Singdata Technology and/or other third parties.
VII. Confidentiality
Singdata Technology promises to take confidentiality measures for the information you submit or become aware of when registering an account or using Singdata Technology services, and not to disclose your information to third parties, unless:
7.1. It can be provided in accordance with these service terms or other service agreements, contracts, online terms, etc., between you and Singdata Technology;
7.2. It should be provided in accordance with the provisions of laws and regulations or the requirements of administrative, judicial, and other competent authorities;
7.3. The confidential information has been made public or can be obtained from the public domain without violating the responsibilities agreed upon in these service terms;
7.4. It is necessary to provide the services you require.
VIII. Export Control and Sanctions
Both parties promise to comply with the export control and sanctions laws and regulations of the People's Republic of China, as well as other applicable export control and sanctions laws and regulations applicable to this contract. You promise not to use the products or services provided by Singdata Technology for purposes prohibited by applicable export control and sanctions laws and regulations. Without the permission of the relevant competent authorities, you and other individuals or entities authorized to use Singdata Technology products or services will not provide controlled products, technology, software, or services to destinations, entities, or individuals prohibited by applicable export control and sanctions laws and regulations through Singdata Technology products or services.
IX. Information Security Incidents
Singdata Technology will respond to information security incidents in a timely manner based on Singdata Technology's emergency response rules and manage information security incidents in accordance with national laws and regulations and relevant security incident handling standards. When an information security incident involving your related assets occurs, we will promptly notify you of the relevant situation by email, letter, phone, push notification, etc., in accordance with the law. You can also proactively contact us through work orders, customer service phone numbers, or key account manager phone numbers.
X. Scope of Responsibility and Limitation of Liability
10.1. You acknowledge and agree that you shall be responsible for any third-party claims arising from your use of this service, violation of these terms of service, or any actions taken under your account. If such claims result in Singdata Technology and its affiliates, employees, customers, and partners being claimed by third parties, you shall be responsible for handling and compensating Singdata Technology and its affiliates for all losses and liabilities incurred.
10.2. To the extent permitted by applicable law, Singdata Technology shall not be liable for any indirect, punitive, special, or consequential damages related to or arising from these terms of service.
10.3. Singdata Technology hereby reminds you that you should comply with the laws of the People's Republic of China during your use of Singdata Technology services, and you must not endanger network security or use Singdata Technology's services to engage in activities that infringe on the reputation, privacy, intellectual property, and other legal rights of others. Singdata Technology shall not be liable for any illegal or breach of contract behavior by you using Singdata Technology services.
10.4. You acknowledge and agree that during the period of public testing, invitation testing, or free trial (use) of services or within the free service quota, although Singdata Technology will support the availability and reliability of the services, it does not make any commitments regarding the availability and reliability of any services. Singdata Technology is also not responsible for any work or results of your use or inability to use Singdata Technology services. Singdata Technology reserves the possibility of charging for such free services in the future, and will notify you separately before charging service fees.
XI. Force Majeure and Accidents
Singdata Technology's website and cloud services are provided based on the current state of technology and conditions. Singdata Technology will make every effort to ensure the continuity and security of the services, but cannot foresee and prevent legal, technical, and other risks at all times. To the extent permitted by law, Singdata Technology shall not be liable for any legal liability if the services cannot be provided normally due to the following force majeure or accidents:
11.1. Force majeure, which refers to objective circumstances that cannot be foreseen, and whose occurrence and consequences cannot be overcome and avoided by both parties, including but not limited to the following situations: (1) Natural disasters such as floods, hail, tsunamis, typhoons, droughts, fires; (2) Social factors such as strikes, riots, wars, and applicable policies, laws, and regulations that prevent performance;
11.2. Public service factors such as power supply failures, communication network failures;
11.3. Non-Singdata Technology independent responsibilities such as hacker attacks, viruses, your own software and hardware equipment abnormalities;
11.4. Short-term system maintenance by Singdata Technology with prior notice or announcement (including but not limited to troubleshooting, system upgrades, system expansion, server migration).
XII. Applicable Law and Jurisdiction
The validity, interpretation, modification, execution, and dispute resolution of these terms of service shall be governed by the laws of the People's Republic of China. Disputes arising from these terms of service shall be submitted to the People's Court of Xihu District, Hangzhou City, Zhejiang Province for resolution.
XIII. Notification Delivery
13.1. You understand and agree that Singdata Technology may send notifications to you through one or more of the following methods: website announcements, emails, internal messages, SMS, phone calls, system messages, and instant messaging. Singdata Technology can rely on the contact information you provide as complete, accurate, and currently valid; the above notifications are deemed delivered upon successful sending.
13.2. Unless otherwise agreed in these terms of service or explicitly stipulated in an agreement between Singdata Technology and you, notifications sent to Singdata Technology by you should be delivered through the contact information officially published by Singdata Technology, such as communication addresses, fax numbers, and email addresses.
XIV. Updates and Termination of Terms
14.1. Singdata Technology has the right to change the content of these terms of service and corresponding service rules and will announce or notify you through website announcements, emails, internal messages, SMS, etc.; if you continue to use the service after the content of these terms of service has been changed, it means that you have fully read, understood, and accepted the modified content and will also comply with the modified terms.
14.2. These terms of service terminate upon the cancellation of your account or the mutual agreement to terminate the website service.
XV. Others
15.1. These terms of service consist of the content of these terms of service, the rules and regulations displayed on the relevant pages of the website, service descriptions (including operation documents), and other terms/conditions you click to confirm. Both Singdata Technology and you are bound by them, and the relevant terms can be referenced and interpreted mutually.
15.2. The chapter titles of these terms of service are set for convenience only and do not have legal or contractual effect.
15.3. If any provision of these terms of service is deemed abolished, invalid, or unenforceable, that provision shall be considered separable and shall not affect the validity and enforceability of these terms of service and other provisions.
15.4. Singdata Technology has the right to transfer all or part of the rights and obligations of this service to its affiliates by posting announcements on the Singdata Technology official website singdata.com, internal notifications, or email notifications.
15.5. Unless otherwise agreed, for professional service considerations, Singdata Technology may also entrust affiliates or other legal entities to provide you with one or more specific services on the Singdata Technology website. You may enter into relevant terms or conditions with such companies. Please read and fully understand the terms and conditions carefully and choose to accept or not accept those terms and conditions.
15.6. The confidentiality clauses, intellectual property clauses, applicable law and jurisdiction clauses, and other clauses that should survive by their nature (such as guarantees of the authenticity of registration information) under these terms of service shall not become invalid due to the termination of these terms.
